EXCEPT AS EXPRESSLY PROVIDED IN A CONTROLLING SEPARATE AGREEMENT, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND SUBJECT TO SECTION 15, THE WEBSITE IS PROVIDED TO YOU ON AN AS IS AND AS AVAILABLE BASIS. The Anti Drug Ad Campaign DISCLAIMS IMPLIED WARRANTIES THAT THE WEBSITE AND ALL SOFTWARE, CONTENT AND SERVICES, AND INFORMATION DISTRIBUTED THROUGH THE WEBSITE ARE MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, TIMELY, FIT FOR A PARTICULAR PURPOSE OR NEED, OR NON-INFRINGING. 11. Termination
Subject to applicable law, any controlling separate agreement, and Section 15, we reserve the right to restrict, modify, suspend, or terminate Your access to the Website. We will provide any notice or refund required by applicable law or a controlling separate agreement.
12. Privacy
The Anti Drug Ad Campaign views the protection of Your privacy as an important responsibility. Personal Information and Personally Identifiable Information (together, “PII”) and other information collected on or in connection with the Website will be used and processed as described in our Website Privacy Policy, available at https://antidrugad.com/privacy. Agreement to these Terms does not constitute consent to processing for which applicable law requires a separate consent. Where required, we will request that consent separately, including through our cookie controls or a feature-specific notice.
13. Assignment
To the extent permitted by law, The Anti Drug Ad Campaign may sell, transfer, or otherwise share some or all of our assets, including Your PII, in connection with a merger, reorganization, or sale of assets, or in the event of bankruptcy. In each such event, the PII we have collected from You may be one of the assets transferred.
14. Age Limitation
The Website is not intended for use by persons under the age of 13. The Anti Drug Ad Campaign does not knowingly collect information from visitors under the age of 13 and in the event that we learn that a person under the age of 13 has provided The Anti Drug Ad Campaign with PII, we will delete such PII.
15. Limitation of Liability
To the fullest extent permitted by applicable law and subject to the exceptions below, The Anti Drug Ad Campaign will not be liable for incidental, consequential, special, or other indirect damages, including lost profits, lost data, or business interruption, resulting from Your use of or inability to use the Website, whether based on warranty, contract, tort, or another legal theory, even if advised of the possibility of those damages. Subject to those exceptions and any controlling separate agreement, The Anti Drug Ad Campaign’s total cumulative liability arising out of or relating to the Website or these Terms will not exceed US $100.
Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing in these Terms limits nonwaivable statutory rights or remedies, including applicable privacy and consumer-protection remedies. Mandatory consumer protections continue to apply. Discontinuing use of the Website is not Your exclusive remedy.
16. Dispute Resolution and Arbitration
Subject to the exceptions below, You and The Anti Drug Ad Campaign agree that, if there is any controversy, claim, action, or dispute arising out of or related to Your use of the Website, or the breach, enforcement, interpretation, or validity of these Terms or any part thereof (“Dispute”), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party 30 days in which to respond to or settle the Dispute. Notice to The Anti Drug Ad Campaign may be sent to [email protected]. Notice to You will be sent to Your most recent contact information available to us.
This informal process does not prevent either party from bringing an eligible individual claim in small claims court, seeking urgent temporary relief to preserve rights pending arbitration, or making a complaint or report to a government authority. Applicable limitation periods will be tolled during the 30-day informal process to the extent permitted by law. A party may file sooner when needed to avoid losing a claim or remedy.
EXCEPT FOR THE EXCEPTIONS IN THIS SECTION AND DISPUTES THAT APPLICABLE LAW DOES NOT PERMIT TO BE SUBJECT TO A PRE-DISPUTE ARBITRATION AGREEMENT, YOU AND THE ANTI DRUG AD CAMPAIGN AGREE THAT UNRESOLVED DISPUTES WILL BE DECIDED BY BINDING INDIVIDUAL ARBITRATION. BOTH PARTIES WAIVE A JUDGE OR JURY TRIAL FOR THOSE DISPUTES. TO THE EXTENT PERMITTED BY LAW AND SUBJECT TO THE NONWAIVABLE-REMEDIES PROVISIONS BELOW, EACH PARTY MAY PROCEED ONLY ON ITS OWN BEHALF AND NOT THROUGH A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
JAMS will administer the arbitration before one neutral arbitrator under its Streamlined Arbitration Rules and Procedures, unless a claim or counterclaim exceeds $250,000, excluding interest and attorneys’ fees, in which case its Comprehensive Arbitration Rules and Procedures apply. The applicable rules in effect when the arbitration begins are available at www.jamsadr.com or upon request. The parties will try to agree on the arbitrator; if they cannot, JAMS will appoint the arbitrator under the applicable selection rules. The parties may exchange relevant, nonprivileged information, and the arbitrator will issue a written, reasoned decision. Court review is limited as provided by the Federal Arbitration Act.
For a consumer dispute, the JAMS Consumer Minimum Standards control over inconsistent terms. If You initiate arbitration, Your required JAMS fee will not exceed $250, or any lower applicable limit; The Anti Drug Ad Campaign will pay the remaining JAMS and arbitrator fees. If The Anti Drug Ad Campaign initiates, it will pay all JAMS and arbitrator fees. No consumer must reimburse The Anti Drug Ad Campaign’s arbitration fees. Applicable law governs any award of attorneys’ fees; this agreement does not require a consumer to pay The Anti Drug Ad Campaign’s attorneys’ fees merely for losing. A consumer may choose a hearing in the county where the consumer resides or participate remotely, subject to JAMS rules, so location does not prevent access. Nonconsumer hearings will occur in Ada, Idaho, unless the parties agree otherwise.
Either party may bring an eligible individual claim in small claims court. The arbitrator may award the remedies available under applicable law. Nothing in these Terms waives a nonwaivable right to seek public injunctive relief. If a court determines that a particular claim or remedy cannot lawfully be arbitrated under this agreement, that claim or remedy may proceed in a court of competent jurisdiction, and the remaining arbitrable matters will proceed in arbitration. No class or representative arbitration may occur without both parties’ express agreement after the Dispute arises. Nothing in this Section restricts complaints to government authorities or rights and remedies that applicable law makes nonwaivable.
Except as stated in the next sentence, the arbitrator has exclusive authority to decide the interpretation, applicability, and enforceability of this arbitration agreement. A court, not the arbitrator, will decide whether an agreement to arbitrate was formed, which agreement governs if contracts conflict, and the enforceability of the class, consolidated, or representative-action waiver. If a provision of this Section is unenforceable, it will be severed to the extent permitted by law, subject to the court fallback for nonarbitrable claims or remedies above, and the remainder will remain in effect. This Section survives termination of these Terms.
17. Choice of Law and Forum
The laws of the state of Idaho govern these Terms and related Disputes, without regard to conflict-of-laws rules, except that this choice does not deprive a consumer of mandatory protections of otherwise applicable law, including the law of the consumer’s place of residence where those protections apply. The parties acknowledge that these Terms evidence a transaction involving interstate commerce. Notwithstanding the foregoing with respect to applicable substantive law, any arbitration conducted pursuant to the terms of these Terms shall be governed by the U.S. Federal Arbitration Act (9 U.S.C., Secs. 1-16).
Subject to Section 16, eligible small-claims proceedings, and any mandatory right to bring proceedings in another forum, Disputes not subject to arbitration will be resolved in the state or federal courts located in Ada, Idaho, and the parties consent to those courts’ jurisdiction. This provision does not waive any nonwaivable right, remedy, or consumer protection under the law of another jurisdiction.
18. Modification
We may propose changes to these Terms and will update the “Last Updated” date when we do so. For material changes, we will provide at least [30] days’ advance notice by [email or a prominent notice on the Website] and request Your renewed affirmative acceptance before applying those changes to You. Changes will apply prospectively when You accept the revised Terms through the acceptance process described above, but not before the stated effective date. We will not apply a new or materially revised arbitration provision to a Dispute that arose before Your acceptance of that revision unless both parties expressly agree after the Dispute arises. Posting revised Terms, changing the date, or Your continued use alone will not constitute acceptance of a material change. If You do not accept revised Terms, the previously accepted version will continue to govern unless the relationship is lawfully terminated under Section 11 or a controlling separate agreement.
